1.0 Cake Equity Data Migration & Historical Baseline Reconciliations
The underlying cap table, option pools, and member transaction data visible on this platform include historical records transferred from Cake Equity (the "Legacy Registry"). OneName Global, Inc. ("the Company") has executed this migration relying entirely on the data snapshots generated by said third party at the time of export. The Company has performed a good-faith reconciliation review; however, it is expressly acknowledged that the completeness and accuracy of the Legacy Registry data is not independently verifiable by the Company beyond the scope of that review.
All records that originated from the Legacy Registry are flagged within the platform's internal ingestion audit trail, preserving an immutable chain of custody from the point of data import through to the present state visible on this platform.
The platform's ingestion of this data does not constitute an independent legal warranty or absolute attestation of historical accuracy by the Company. All prospective and verified users acknowledge that the Company has established an immutable import audit trail, and that the final verification burden remains with the individual shareholder upon completing their onboarding covenant. Any discrepancies identified must be formally reported in writing to the Corporate Secretary within ninety (90) days of the user's initial portal onboarding completion.
2.0 Statutory Source of Truth & Corporate Secretary Control
This digital Portal acts strictly as a secondary, convenience-based electronic visualization tool for portfolio monitoring and investor relations communications. Its purpose is to provide registered users with a real-time, accessible interface to view their approximate equity positions as reflected in the Company's administrative database at any given moment.

THIS PORTAL DOES NOT CONSTITUTE THE OFFICIAL LEGAL STOCK LEDGER or the definitive corporate registry of members required under the Delaware General Corporation Law (DGCL), Title 8, Chapter 1, Section 219. The official corporate record exists as a separate, independently maintained instrument under the exclusive control of the Corporate Secretary of OneName Global, Inc.
The actual, legally binding corporate records remain under the strict administrative maintenance of the Corporate Secretary. In the event of an operational database sync latency, typographical variance, or front-end display conflict on this UI, the physical or verified corporate books and ledgers of the Company shall govern absolutely and without exception. No representation made by this platform, whether through automated computation or administrative entry, shall supersede the duly executed corporate books.
3.0 Estimated Values, Intrinsic Values, and Financial Non-Reliance
Any metrics displayed under labels such as "Estimated Value," "Est. Value," "Intrinsic Value," or similar financial summary fields within this portal are purely theoretical, mathematical computations. These figures are derived exclusively from historical private funding round valuations or independent board-approved 409A determinations at the time of their recording, and are not dynamically updated to reflect current market conditions or secondary trading activity.

Any attempt to exploit system endpoints to cross-contaminate data tiers, circumvent row-level security policies, or expose proprietary financial insights will result in immediate account termination, permanent access revocation, and legal escalation pursuant to applicable computer fraud and securities statutes, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030).
5.0 Cryptographic Consent & Binding Statutory Signatures
By executing the portal onboarding wizard and submitting profile verification forms, the user explicitly and irrevocably consents to the platform's background tracking and forensic audit systems as described in full within the Platform Privacy Policy. This consent is recorded at the moment of form submission and cannot be subsequently withdrawn without formal written communication to the Corporate Secretary.

This tracking generates an unalterable forensic record within the AuditRecord entity — capturing precise UTC timestamps, browser fingerprints, session metadata, and before/after data snapshots. All parties agree that check-box submissions on this platform constitute valid, legally binding electronic signatures under the Electronic Signatures in Global and National Commerce Act (ESIGN), 15 U.S.C. § 7001 et seq., and the Uniform Electronic Transactions Act (UETA) as adopted in the applicable jurisdiction. No party may contest the validity or enforceability of any such electronic signature on the basis that it was not made in writing or was not signed.
